3.2 Limitation of Liability

To the maximum extent permitted by applicable law, Shop Stream shall not be liable for any:

• • Business interruption or loss of goodwill
• • Damages arising from unauthorized access to or alteration of your data

Our total liability for all claims related to our services shall not exceed the amount paid by you to Shop Stream in the twelve months preceding the claim.

3.3 Consequential Damages Exclusion

Shop Stream will not be liable for any consequential, incidental, indirect, exemplary, special, or punitive damages, including lost profits, even if Shop Stream has been advised of the possibility of such damages. This limitation applies regardless of the theory of liability, whether based on warranty, contract, statute, tort, or otherwise.

3.4 Force Majeure

Shop Stream shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet failures, or failures of third-party service providers.

3.5 Jurisdictional Variations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations set forth above may not apply to you. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

4.1 Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising out of or relating to these Terms and Conditions shall be instituted exclusively in the courts of Tokyo, Japan, and you consent to the personal jurisdiction of such courts.

4.2 Dispute Resolution Procedures

In the event of any dispute, controversy, or claim arising out of or relating to these Terms and Conditions, the parties agree to first attempt to resolve the matter through good faith negotiations. If the dispute cannot be resolved through negotiation within thirty days, either party may pursue available legal remedies in accordance with the jurisdiction provisions outlined above.

4.3 Arbitration

At Shop Stream's option, disputes may be submitted to binding arbitration in Tokyo, Japan, in accordance with the Commercial Arbitration Rules of the Japan Commercial Arbitration Association. The arbitration shall be conducted in English or Japanese, and the arbitrator's decision shall be final and binding. Each party shall bear its own costs of arbitration, unless otherwise determined by the arbitrator.

4.4 Class Action Waiver

To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate as a plaintiff or class member in any purported class action, collective action, or representative action.

4.5 Severability

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be made enforceable, it shall be severed from these Terms and Conditions. The remaining provisions shall continue in full force and effect.

4.6 Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and Terms of Service, constitute the entire agreement between you and Shop Stream regarding your use of our services and supersede all prior or contemporaneous understandings and agreements, whether written or oral.

4.7 Modifications to Terms

Shop Stream reserves the right to modify these Terms and Conditions at any time. We will provide notice of material changes by posting the updated terms on our website with a new "Last updated" date. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms and Conditions. We encourage you to review these terms periodically.

4.8 Waiver

No waiver by Shop Stream of any term or condition set forth in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Shop Stream to assert a right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.

4.9 Assignment

You may not assign, transfer, or delegate these Terms and Conditions or your rights and obligations hereunder without the prior written consent of Shop Stream. Shop Stream may freely assign or transfer these Terms and Conditions without restriction. Any attempted assignment in violation of this provision shall be null and void.
