You may not copy, reproduce, distribute, or create derivative works from our content without express written permission.

4.2 User-Generated Content

When you provide content to us (such as feedback, suggestions, or materials shared during project collaboration), you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content for purposes related to providing and improving our services. You retain ownership of any intellectual property rights in content you provide.

4.3 License Grant to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our website and services for your personal or internal business purposes. This license does not include any right to resell or commercial use of our services, collection or use of product listings or descriptions, derivative use of our services or content, or any use of data mining or similar data gathering tools.

4.4 Trademarks and Branding

Shop Stream and related logos, names, and trademarks are our property. You may not use our trademarks without prior written consent. Other trademarks and service marks appearing on our website are the property of their respective owners.

5.1 Service Fees

Fees for our services are specified in project proposals or service agreements. All fees are quoted in Japanese Yen (¥) unless otherwise stated. Prices are subject to change with reasonable notice, but changes will not affect services already contracted.

5.2 Payment Terms

Payment terms are specified in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of issuance. Late payments may incur interest charges at the rate permitted by law. We reserve the right to suspend services for accounts with overdue payments.

5.3 Refund Policy

Refunds are handled on a case-by-case basis as specified in individual service agreements. Generally, fees paid for completed services are non-refundable. If you believe you are entitled to a refund, please contact us to discuss your specific situation.

8.1 Applicable Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Tokyo, Japan.

8.2 Dispute Resolution

Before initiating any legal proceedings, parties agree to attempt to resolve disputes through good faith negotiation. If a dispute cannot be resolved through negotiation within 30 days, either party may pursue legal remedies as permitted by law.

8.3 Waiver of Class Actions

To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.

9.1 Entire Agreement

These Terms constitute the entire agreement between you and Shop Stream regarding your use of our services and supersede all prior agreements and understandings, whether written or oral.

9.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

9.3 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

9.4 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
